01 Acceptance of Terms

By accessing this website, submitting an application, or engaging Halo & Vice Media Group LLC ("Halo & Vice," "we," "us") for services, you agree to be bound by these Terms and by our Privacy Policy, which is incorporated here by reference.

We may revise these Terms at any time. Changes take effect when posted to this page, and the "Last updated" date will reflect the revision. Continued use of the site after changes are posted constitutes acceptance. If you have a signed service agreement with us, that agreement controls where it conflicts with these Terms.

02 Description of Services

Halo & Vice is a talent management and digital growth marketing firm serving independent creators and their businesses. Our services may include:

• Talent management — day-to-day operations, scheduling, negotiation, and career strategy
• Growth marketing — paid search, programmatic media buying, and audience acquisition
• Search and content strategy — organic discovery, domain strategy, and content systems
• Operations and compliance support — invoicing structure, contract administration, and back-office infrastructure

Nothing on this website constitutes an offer of representation. We accept new talent by application only and at our sole discretion. We make no guarantee of any specific revenue, audience growth, placement, or other business outcome.

03 Eligibility

This website and our services are strictly limited to persons aged 18 or older. By using this site or engaging our services, you represent and warrant that:

• You are at least 18 years of age;
• You have the legal capacity to enter into a binding agreement;
• If you are engaging services on behalf of an entity, you are authorized to bind that entity;
• Any creator whose business we are engaged to support is at least 18 years of age and can produce valid government-issued photographic identification on request.

We reserve the right to require age and identity verification before entering into any engagement, and to terminate immediately and without refund if any representation in this section proves false.

04 Client Responsibilities

If you engage our services, you agree that you are solely responsible for:

• The content you create, publish, or distribute, and its lawfulness in every jurisdiction where it is available;
• Your own compliance with all applicable recordkeeping obligations, including those under 18 U.S.C. § 2257 where they apply to you (see our 2257 Compliance Statement);
• Your compliance with the terms of service of any third-party platform you use;
• Obtaining and maintaining all rights, licenses, releases, and consents necessary for any material you provide to us or ask us to use;
• Your own tax obligations and business licensing;
• The accuracy of information you provide to us.

You agree not to ask us to perform any service that would be unlawful, that would infringe another party's rights, or that would violate a platform's terms.

05 Intellectual Property

Our property

The Halo & Vice name, logo, wordmark, site design, copy, and all other materials on this website are owned by Halo & Vice Media Group LLC and protected by copyright, trademark, and other laws. You may not copy, reproduce, republish, or create derivative works from them without our prior written permission.

Your property

You retain all ownership of content and materials you create. Nothing in these Terms transfers ownership of your content to us. Where we need to use your marks or materials to perform services — for example, running advertising on your behalf — you grant us a limited, revocable, non-exclusive license to do so for the duration of the engagement and solely for that purpose.

Work product

Ownership of strategies, creative assets, campaign structures, and other deliverables we produce for you is governed by your service agreement. Absent a written agreement to the contrary, we retain ownership of our underlying methods, templates, and tools, and grant you a license to use deliverables for your business.

06 Fees & Payment

Fees, payment schedules, and engagement terms are set out in your individual service agreement. Unless that agreement says otherwise, invoices are due on receipt, and late amounts may accrue interest at the lesser of 1.5% per month or the maximum permitted by law. You are responsible for any taxes arising from your engagement other than taxes on our net income.

07 Confidentiality

Each party may receive confidential information from the other. Both parties agree to protect the other's confidential information with at least reasonable care, to use it only for purposes of the engagement, and not to disclose it to third parties except to advisors bound by confidentiality or as required by law. We treat the identity and business details of our talent as confidential and do not disclose them publicly without written consent.

08 Disclaimer of Warranties

This website and our services are provided "as is" and "as available," without warranties of any kind, whether express, implied, or statutory, including without limitation implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

We do not warrant that this site will be uninterrupted, secure, or error-free, or that any particular commercial result will be achieved through our services. Marketing and audience growth involve factors outside our control, including third-party platform decisions and algorithm changes.

09 Limitation of Liability

To the maximum extent permitted by law, Halo & Vice Media Group LLC and its members, officers, employees, and contractors will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, or business opportunity, arising out of or relating to this website or our services, regardless of the theory of liability and even if advised of the possibility of such damages.

Our total aggregate liability arising out of or relating to these Terms or our services will not exceed the total fees you paid to us in the twelve (12) months immediately preceding the event giving rise to the claim.

Some jurisdictions do not allow certain limitations of liability, so some of the above may not apply to you. Nothing in these Terms limits liability for fraud, willful misconduct, or any liability that cannot be limited under applicable law.

10 Indemnification

You agree to indemnify, defend, and hold harmless Halo & Vice Media Group LLC and its members, officers, employees, and contractors from any claims, damages, liabilities, losses, and expenses (including reasonable attorneys' fees) arising out of or related to: your content; your breach of these Terms or your service agreement; your violation of any law or third-party right; or any misrepresentation regarding age, identity, or authority.

11 Third-Party Platforms & Links

Our services frequently involve third-party platforms, advertising networks, and payment processors. We do not control those parties, are not responsible for their acts or omissions, and cannot guarantee their continued availability or their treatment of your account. Any links from this site to external sites are provided for convenience and do not imply endorsement.

12 Termination

We may suspend or terminate your access to this website at any time, with or without notice, for any reason, including suspected violation of these Terms.

Termination of a service engagement is governed by your service agreement, including any notice period and any obligation to pay for work performed through the termination date. We may terminate an engagement immediately if you breach these Terms, if continuing would expose us to legal or reputational risk, or if any eligibility representation proves false.

Sections concerning intellectual property, confidentiality, disclaimers, limitation of liability, indemnification, and dispute resolution survive termination.

13 Dispute Resolution

Before filing any claim, the parties agree to attempt in good faith to resolve the dispute informally by contacting management@haloandvice.com with a written description of the dispute and the relief sought. If the dispute is not resolved within thirty (30) days, either party may proceed.

Any dispute not resolved informally will be settled by binding arbitration administered by a recognized arbitration provider under its commercial rules, conducted by a single arbitrator, in the county and state identified in Section 14. Each party waives any right to a jury trial and to participate in a class or representative action. Either party may bring an individual claim in small claims court where it qualifies. Either party may seek injunctive relief in court to protect intellectual property or confidential information.

14 Governing Law

If any provision of these Terms is held unenforceable, that provision will be limited or severed to the minimum extent necessary and the remaining provisions will remain in full force. Our failure to enforce any provision is not a waiver of it. You may not assign these Terms without our written consent; we may assign them in connection with a merger, acquisition, or sale of assets. These Terms, together with any signed service agreement and the Privacy Policy, constitute the entire agreement between the parties on this subject.
